Shareholders of "Kernel" formalized Secondary Public Offering in March 2011

Additional meeting of Kernel Holding SA (Luxembourg) shareholders, the holding company of Ukrainian "Kernel Group", on July 21 approved an additional emission of 5.4M shares in the final design carried out at the end of March 2011 transactions a secondary public offering (SPO) .
As stated in stock exchange announcement of the company, the meeting also agreed with the proposal of the Board of Directors of "Kernel" to issue new 1583.525 thousand shares for stock options under the incentive program adopted in February 2008.
The volume of the options’ issue accounts for 2% of the total shares. It was reported that the meeting scheduled for June 15 was not held due to lack of 50% of the shares quorum Next meeting does not require quorum. "Kernel" in late March placed 5.4 million new shares with institutional investors at a price of 74 PLN per share, net worth 399.4M PLN (approximately 140.3M USD).
Currently, shares of "Kernel" are listed on the Warsaw Stock Exchange at the rate of 70,2 PLN (25.2 USD) per share.
